1. Acceptance of Terms

By accessing or using the Among platform (the "Service"), operated by Workmain Inc. ("Among", "we", "us"), you agree to be bound by these Terms and Conditions and our Privacy Policy, which is incorporated herein by reference. If you do not agree, do not use the Service. These terms apply to all users of the platform, whether browsing, using our web platform, or transacting as a buyer or vendor.

2. About the Service

Among is an AI-powered B2B procurement marketplace that connects businesses with local commercial service providers. The Service operates through our web platform and includes: AI-assisted procurement conversations, brief distribution to matched vendors, and structured proposal comparison. Among acts solely as a marketplace facilitator: we are not a party to the agreements between buyers and vendors. Service availability may expand to additional regions in the future.

3. Eligibility

The Service is available to businesses and their authorized representatives who are at least 18 years old. The Service is not intended for individuals under 18. By using Among, you represent that you have the authority to bind the business entity you represent and that all information you provide is accurate and current.

4. Accounts and Registration

To use the full features of the Service, you must create an account via our web platform. You agree to:

  • Provide accurate, current business information including your business name and service details
  • Maintain the security of your account and promptly notify us of any unauthorized use
  • Be responsible for all activity that occurs through your account

5. Communications

Among may send you email communications related to your account, procurement activity, and platform updates. By using the Service, you consent to receiving these communications.

  • Among may send emails to vendors on behalf of buyers to deliver briefs and related procurement communications
  • You may opt out of marketing and non-essential emails at any time by contacting hello@amonghq.com or using the unsubscribe link in any email. Opt-out requests are honored immediately.

6. When Acting as a Buyer

Any company on Among may use the platform to procure services. When acting as a buyer, you agree to:

  • Submit genuine procurement requests with accurate specifications and reasonable expectations
  • Respond to vendor proposals in a timely manner and negotiate in good faith
  • Among facilitates connections between buyers and vendors but is not responsible for vendor performance, service quality, or the outcome of any transaction

7. When Acting as a Vendor

Any company on Among may list services and respond to procurement requests. When acting as a vendor, you agree to:

  • Provide accurate business information, service descriptions, and pricing
  • Respond to briefs promptly and submit honest, competitive proposals
  • Maintain all required business licenses, insurance, and certifications for your service area

8. Marketplace Role

Among operates solely as a marketplace facilitator and technology platform. You acknowledge that:

  • Among does not provide, perform, or guarantee any commercial services listed on the platform
  • Contracts for services are between the buyer and vendor directly. Among is not a party to them.
  • Among is not responsible for the quality, safety, legality, or timeliness of services provided by vendors
  • Among does not mediate disputes between buyers and vendors. All disputes arising from transactions are between the buyer and vendor.
  • Among does not endorse, certify, or guarantee any vendor listed on the platform. Buyers are responsible for their own due diligence.

9. Fees

The Service is currently free to use. Among reserves the right to introduce fees, such as subscription plans, in the future. Any fee changes will be communicated at least 30 days before they take effect. You will not be charged without prior notice and an opportunity to cancel your account.

10. Prohibited Conduct

You agree not to engage in any of the following:

  • Submitting false or misleading procurement requests or vendor information
  • Using the platform to spam, harass, or send unsolicited commercial messages
  • Interfering with the operation of the Service or its infrastructure
  • Using the Service for any illegal purpose or in violation of applicable laws
  • Creating duplicate accounts or circumventing an account suspension
  • Submitting procurement requests or proposals with no intention of fulfilling them

11. User Content

You retain ownership of all content you upload to the platform, including product and service listings, business descriptions, logos, and pricing information. By uploading content, you grant Workmain Inc. a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute that content solely for the purpose of operating the platform, including vendor matching and recommendations. This license does not extend to using your company name, logo, or branding in Among's own marketing materials without your prior consent. You may control the visibility of your products, services, and pricing through your account settings. This license terminates when you delete your content or your account, except as needed for legal compliance. You may request deletion of your data at any time by contacting hello@amonghq.com.

12. AI and Data Usage

Among uses artificial intelligence, including third-party AI services, to power procurement conversations, vendor matching, and proposal analysis. Your data is used to provide relevant context for AI-powered features and to personalize your experience on the platform. Among does not use your data to train AI models. In the course of facilitating procurement, Among may share your business name and the scope of the products or services you are seeking with relevant vendors. 13. Intellectual Property

The Among platform, including its AI technology, branding, content, and design, is owned by Workmain Inc. and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our platform without written permission.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. AMONG DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY VENDOR WILL MEET YOUR EXPECTATIONS. WE DO NOT ENDORSE OR GUARANTEE ANY VENDOR OR THEIR SERVICES.

15. Limitation of Liability

AMONG FACILITATES CONNECTIONS BETWEEN BUYERS AND VENDORS BUT BEARS NO RESPONSIBILITY FOR THE OUTCOME OF ANY TRANSACTION, THE PERFORMANCE OF ANY VENDOR, OR THE QUALITY OF ANY GOODS OR SERVICES PROCURED THROUGH THE PLATFORM. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WORKMAIN INC. SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE OR ANY TRANSACTION FACILITATED THROUGH IT, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).

16. Indemnification

You agree to indemnify and hold harmless Workmain Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

17. Termination

Either party may terminate use of the Service at any time. You can stop using Among by contacting us at hello@amonghq.com. We may suspend or terminate your access if you violate these Terms. Upon termination, any outstanding obligations between buyers and vendors that were initiated through the platform remain in effect between those parties. You may request deletion of your data by contacting hello@amonghq.com. We may retain certain data after termination as required for legal compliance and dispute resolution purposes.

18. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in Miami, Florida. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

YOU AND WORKMAIN INC. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

You may opt out of this arbitration agreement by sending written notice to hello@amonghq.com within 30 days of first using the Service. If you opt out, disputes will be resolved in court as described in Section 19.

Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.

19. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. If the arbitration agreement in Section 18 does not apply, any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida.

20. Force Majeure

Workmain Inc. shall not be liable for any failure or delay in performing its obligations under these Terms due to events beyond its reasonable control, including but not limited to natural disasters, acts of government, internet or telecommunications failures, power outages, pandemics, or labor disputes.

21. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or posted on our website at least 15 days before they take effect. Your continued use of the Service after changes constitutes acceptance. If you disagree with updated terms, you may stop using the Service at any time.
